Gene J. Puskar/AP OAK BROOK, Ill. -- McDonald's says a key sales metric slipped again in the U.S. as it faced "ongoing broad-based challenges" in May. The world's largest hamburger chain said U.S. sales declined 1 percent at locations open at least 14 months. The fast-food chain has been struggling to boost sales amid heightened competition and changing eating habits. Many of its core customers are also struggling financially, which has forced McDonald's to intensify its focus on value. Executives at McDonald's (MCD) have also conceded that the chain introduced too many items too quickly last year, which led to slower service and inaccurate orders. CEO Don Thompson has said the company is working with franchisees to address those problems, in part by ensuring restaurants have appropriate staffing. The decline in the U.S. comes after a 1.7 percent drop for the first three months of the year. And last year, sales at established U.S. locations slipped 0.2 percent. Overseas, a rebound in China after last year's worries about avian flu helped lift sales by 2.5 percent in its Asia, Middle East and Africa division. That in turn lifted global sales 0.9 percent for May. In Europe, McDonald's largest market, the sales figure rose 0.4 percent, boosted by improvements in the United Kingdom and France. An expanded beverage business was among the factors behind the improvements. McDonald's, based in Oak Brook, Illinois, has more than 35,000 locations around the world. Its shares were down 42 cents to $101.54 in afternoon trading Monday. The stock is up more than 5 percent so far this year.

Why EXACT Sciences Shares Nosedived

Although we don't believe in timing the market or panicking over market movements, we do like to keep an eye on big changes -- just in case they're material to our investing thesis.

What: Shares of EXACT Sciences (NASDAQ: EXAS  ) , a molecular diagnostics company focused on cancer and pre-cancer colorectal screening tests, nosedived as much as 30% following the release of top-line data from the company's Deep-C clinical trial for Cologuard.

So what: Cologuard is EXACT's proprietary molecular analyzer that looks to differentiate the difference between the DNA of normal cells shed daily from the colon, and cells from cancerous and pre-cancerous polyps that express mutated DNA signatures. This is done by a patient sending in a stool sample to EXACT's lab, and EXACT using Cologuard to make that determination. In trials, Cologuard was successful at detecting cancer 92% of the time and identified pre-cancerous polyps 42% of the time, including a 66% success rate if they were in excess of two centimeters. However, many Wall Street analysts had been looking for the pre-cancerous polyp detection number to be much higher than it actually was.

Now what: I labeled EXACT Sciences as a risky bet in my Tackling Cancer series for this exact reason. However, I feel today's drop may be a tad bit overdone. Although the pre-cancerous efficacy was lower than many had expected, Cologuard met its primary endpoint and delivered strong enough results from its non-invasive test that I feel the Food and Drug Administration would eventually approve it. It's not perfect, but it's a considerably more pleasant alternative to a colonoscopy and a starting point for diagnosing colon cancer for high-risk patients.

A Small Investor Who Got Twitter at $26, Did You? (Update 2)

Updated from 1:58 p.m. ET, Friday, on Page Two with reports from individual investors and their TWTR IPO experiences.

NEW YORK (TheStreet) -- TheStreet's Antoine Gara is out with an excellent article Friday afternoon -- Maybe Facebook (FB) Priced Its IPO Better Than Twitter (TWTR).

Gara does an excellent job detailing differences between the two offerings. Here's a key excerpt: Reports from CNBC's David Faber indicate that Twitter's offering was oversubscribed by a multiple of 30. In contrast, interviews show that Facebook's underwriters were putting out calls to small institutional accounts and left large allocations for retail investors in order to fill the mammoth stock offering. Ordinary investors basically had the ability to buy as many Facebook shares as they wanted.

As far as I'm concerned this speaks to my outrage over the IPO process. It's a black box for smallish investors. In most cases, particularly the most lucrative ones, they can't get shares at the offer, leading to, as Gara reports, lots of retail activity in a name such as TWTR right out of the gate. Often not a good thing. Meantime, the Facebook IPO was apparently put out in front of hype-consuming, Peter Lynch-influenced and, in many cases, novice or brand new investors. But, hey, let's not balk at the SEC putting so much energy toward the dog and pony motions of chasing insider trading cases. Maintain. The. Status. Quo! That said, I came across an ordinary investor who actually received Twitter shares through his broker at the offer price. In other words, he put in a request and, his brokerage -- TD Ameritrade (AMTD) -- filled it. Here's his confirmation (though he will not disclose the number of shares he received): Did you get shares in TWTR? And, for that matter, FB? At the offer ahead of the respective IPO's open. If so, Tweet some screen shots and related information to me @Rocco_TheStreet. Also, if you didn't get shares of TWTR or FB at the offer, but bought either sometime during day one of trading, what's your situation with that position at this juncture? Here's an official statement from a TD Ameritrade spokesperson on the TWTR IPO as it relates to the firm: We have not disclosed the amount of our allocation, but as a minor participant you should assume that it was relatively small and that demand far outpaced the supply. All of our allocation went to retail investors - either self-directed investors or the clients of independent registered investment advisors who custody their assets with us. ... TWTR was our top traded equity yesterday, but only amounted to 5% of our clients' total trading volume. Some added color - we did see a great deal of interest and excitement around this IPO, which was expected given the popularity of the Twitter brand, but it was not at the same levels that we saw when Facebook went public. The TD Ameritrade spokesperson added that, on average, through October 25, 2013, its clients executed approximately 419,000 trades per day in the month of October (as of the 25th). The company released this data in its 10/29 quarterly earnings report. If we assume -- and the TD Ameritrade spokesperson did not confirm this -- that 419,000 trades took place via its platform Thursday, roughly 20,950 would have involved TWTR, using the above-mentioned 5% figure.

I put the call out on Twitter for other investors who tried (and failed or succeeded) to get shares, at the offer, for the TWTR IPO. While this hardly qualifies as scientific research, it accomplishes something.

First, it provides hope that anything's possible. Generally, to get shares from your broker, you need a track record. Part of the black box that is the IPO process is that nobody really knows what that means because the brokerages don't explicitly tell us. And, of course, the SEC doesn't require them to.

Is a track record merely a large dollar value account or is it number of holdings, trades, types of positions, risk aversion profile? It would be nice if the application for IPO shares looked more like the standard process brokerages use to qualify customers to trade options. That's much easier to make sense of as you answer the regulator-mandated questions and submit your form. There are various approval levels. You can move between them. You know where you stand and, relative to the IPO situation, a better idea of why.

Back in the day when I was vying for IPO shares (I'm not that old; I just can't own individual stocks anymore!), I routinely asked for shares and never received any. IBM and Genentech Introduce a New Era

On this day in economic and business history ...

IBM (NYSE: IBM  ) knew it had something big on its hands when it introduced the System/360 series of mainframe computers on April 7, 1964. Legendary IBM executive (and son of that other legendary IBM executive) Thomas J. Watson Jr. called the launch "the most important product announcement in the company's history." IBM hosted a launch event that would put today's to shame -- a coordinated nationwide reveal attended by more than 100,000 businessmen in 165 cities across the United States.

Watson told the world:

System/360 represents a sharp departure from concepts of the past in designing and building computers. It is the product of an international effort in IBM's laboratories and plants and is the first time IBM has redesigned the basic internal architecture of its computers in a decade. The result will be more computer productivity at lower cost than ever before. This is the beginning of a new generation -- not only of computers -- but of their application in business, science, and government.

Watson was right. System/360 was not a single mainframe, but an entire series of them, with capabilities and costs running the gamut from workhorse to wonder. It was the first time that computers had been designed with upgrades in mind, as the entire range of System/360s shared the same base instruction set and could thus be upgraded without forcing users to learn to use something unfamiliar. System/360s were available at monthly rental costs that ranged from $2,700 to $115,000 -- compared with purchase prices of between $133,000 to $5.5 million -- and users could feel confident that no matter which machine they ordered, they could always upgrade later as their data processing demands grew.

The System/360 family became extremely successful in the market, producing some of the strongest business (and stock price) gains in IBM's history. IBM also created a number of industry standards with the System/360 family. Some have since been superseded by newer designs, but the 8-bit byte was possibly the most durable -- it remains the standard to this day.

IBM continued to deliver and support System/360s almost up to the release of its PC in 1981, as the last mainframes were delivered to customers in 1978. It's still possible to run applications for System/360 machines in the present day, as IBM's modern System z mainframes are fully backwards compatible with their groundbreaking ancestors.

Birth of biotech
Genentech was founded on April 7, 1976, becoming the world's first true biotechnology company. Genentech itself tells the story of its founding through the "GenenLab Notebook," part of a welcome kit the company gives to new employees that found its way online in 2012:

It all began with an experiment conducted by a team led by Dr. Herbert W. Boyer of the University of California at San Francisco (UCSF) and Dr. Stanley N. Cohen of Stanford University. They proved that DNA could be recombined, meaning, in theory, that genetic material from one species could be successfully introduced into the gene of another species. ...

In January 1976, Robert A. Swanson, who had been a partner at the venture capital firm of Kleiner & Perkins, telephoned Boyer. Swanson believed that recombinant DNA technology (rDNA, for short) could be employed to create commercial products in a relatively short time, but it seemed that nobody -- including the overwhelming majority of scientists -- agreed with him. Everybody he talked with said it would be 15 to 20 years before that happened.

Swanson persuaded Boyer to meet with him for a few minutes. In fact, the meeting lasted two or three hours because Boyer agreed with Swanson on the commercial feasibility of genetic engineering, not in the distant future, but now. ...

By the time their initial meeting was over, the two had agreed to organize a new company. They each put up $500. Boyer also came up with a name for the company, derived from GENetic Engineering Technology. (Good thing, because Swanson's suggestion was the HerBob Company.) ... In June, on the basis of an eight-page business plan, Kleiner & Perkins agreed to provide $100,000 in venture capital funding, which lasted Genentech nine months. At least Swanson could now take a small salary.

Genentech would eventually develop a number of important new medical products, beginning with synthetic insulin, its very first FDA-approved product in 1982, and the first genetically engineered human theraputic. Genentech's success eventually led to one of the largest acquisitions in health-care history, as Roche (NASDAQOTH: RHHBY  ) took full control of Genentech for roughly $47 billion in 2009 after holding majority ownership since 1990.

The star of the oil industry
Texas Company -- popularly known as Texaco -- was officially formed in Beaumont, Texas on April 7, 1902. Originally devised as a transport and pipeline operation to take advantage of the massive oil flow from the nearby Spindletop field, Texaco would grow into a fully integrated exploration and production company a year later, with the tapping of a 5,000-barrel-per-day well at nearby Sour Lake Springs. The company's success was rapid and notable -- within only 13 years, Texas Company would become the first oil enterprise to ever earn a place on the Dow Jones Industrial Average (DJINDICES: ^DJI  ) . This index membership continued, with one small interruption from 1924 to 1925, for more than 75 years.

By 1928, Texaco was the first company to operate a unified sales network of one branded gasoline. Texaco developed modern service stations in 1937, with the familiar car wash, mechanic bays, sales office, restrooms, and large street-facing brand signs. In 1959, Texas Company officially changed its name to Texaco, which it retained until merging with Chevron (NYSE: CVX  ) in 2001 to create one of the world's largest integrated oil companies, under the Chevron brand.

Can you see me now?
The first public demonstration of long-range television transmission in history took place in an AT&T (NYSE: T  ) Bell Labs auditorium on April 7, 1927. AT&T brought future President and then-Commerce Secretary Herbert Hoover to the demonstration to serve as the subject of the transmission, where he said to those gathered on both sides: "Today we have, in a sense, the transmission of sight for the first time in the world's history. Human genius has now destroyed the impediment of distance in a new respect, and in a manner hitherto unknown."

It was just one year later that television broadcasts began in the United States, but they were hardly entertaining -- early viewers were just getting the shadows of popular programs, which would have been all but impossible to make out. True broadcasts as we now consider them didn't gain popularity until the mid-1930s, and although color televisions had been tested shortly after AT&T's Hoover broadcast, it was not made commercially available until after World War II. Those woebegone Depression-era folks might not have been so depressed, if only they'd had TV -- assuming they could afford it, of course.

    In terms of individual companies, there are several good choices, but these can behave very differently. Pan American Silver (NASDAQ: PAAS  ) , for example, missed revenue expectations and beat earnings expectations in its last earnings release. But despite the beat, EPS shrank considerably from a year earlier on a GAAP basis. The stock has been fairly flat ever since. Conversely, First Majestic (NYSE: AG  ) reported strong revenue growth and a small bump in profits, sending the stock higher since the announcement. Beatrix Operation

The Beatrix operation is located in the Free State Province of South Africa, some 240 kilometers southwest of Johannesburg, near Welkom and Virginia, and consists of the Beatrix mine. Beatrix operates under mining rights covering a total area of approximately 16 800 hectares. As of January 10, 2013, Beatrix had four shaft systems, with five ventilation shafts to provide additional up-cast and down-cast ventilation capacity and is serviced by two metallurgical plants. It is a shallow to intermediate-depth mining operation, at depths between 700 meters and 2 200 meters below surface. The mine has a refrigeration and cooling infrastructure in both its North and West Sections. Beatrix is man! aged as three operational sections: the North Section (consists of Shaft No. 3), the South Section (consists of Shaft No. 2 and Shaft No. 1) and the West Section (consists of Shaft No. 4).

Chinese Firm Buys the Waldorf Astoria: Is a 'China Panic' Next?

When the Waldorf Astoria Hotel opened on New York City's Park Avenue in 1931, President Herbert Hoover called it "an exhibition of courage and confidence to the whole nation." He didn't mean China. So one can imagine Hoover spinning in his grave over this week's announcement that Chinese insurance company Anbang purchased the hotel from Hilton Worldwide Holdings, for a whopping $1.95 billion. A Hilton spokesperson told me that "Many luxury hotels in New York have foreign ownership" -- among them the Carlyle, Mandarin Oriental, Pierre, Plaza and Peninsula -– "so it's not an atypical arrangement by any means." And Chinese companies have been buying U.S. real estate for years now, including the General Motors Building and One Chase Manhattan Plaza in New York. Still, for many (not just) Americans, this particular sale strikes close to the heart. The Waldorf's 1,413 guest rooms, three restaurants and 60,000 square feet of banquet halls occupy a whole city block and have hosted U.S. presidents, world leaders and countless celebs. Given that pedigree, the sale can feel like a blow to American national pride. If you were around in the 1980s and early '90s, the sale of the Waldorf and other properties may also recall the Japanese buying spree of American landmarks from Rockefeller Center to Pebble Beach Golf Club. You probably remember media reports of a "Japan panic," with American investors priced out of the U.S. property market. Is there cause for a China panic this time? "It's not the same," says Susan Wachter, professor of real estate and finance at the Wharton School of the University of Pennsylvania. "The driving force in the Japan expansion was that Japanese market prices were so high -- clearly in bubble territory. Japanese investors found U.S. real estate bargain priced, and overpaid," Wachter says, causing a corresponding run up in U.S. prices. On the other hand, Wachter calls Chinese real estate investors "much more long term and selective," with no desire to inflate prices. Case in point: $1.95 billion, while an eye-popping sum, is about current market value for a city block in Midtown Manhattan. As an insurance company, she says, Anbang "needs steady, safe returns over the long run, not short-term opportunities for cheap properties and quick profits." Another big difference: in addition to the purchase price, the deal includes a separate 100-year management contract with Hilton, and Hilton says that Anbang will pay for hotel renovations. The Hilton spokesperson says it all "speaks to the relationship and the benefits that can come out of it." "There will be case studies on this investment," Wachter predicts. "It's about as far as you can get from a strategic, in-and-out investment."

While sales of older anti-virus products have been on the decline, security experts expect strong growth in both FireEye's cloud-based systems for detecting malicious software and Mandiant's software that analyzes cyber attacks. About a year ago the two companies entered into a technology development agreement that made it easier to deploy their products together. With the merger, FireEye will gain Mandiant's team of forensics investigators.     CYNK Technology (CYNK), the mysterious over-the-counter stock that at one point broke a $6 billion market cap, dropped roughly 80 percent in its first trades after a Securities and Exchange Commission halt. The SEC halted CYNK for two weeks following a massive rise in the stock's value -- it had been worth only a few cents per share in June, but it jumped above $21 on July 10. The Belize-based CYNK Technology supposedly operates a social networking site, but filings indicate it only has one employee and virtually no assets. Experts told CNBC the week of the SEC halt that they expected CYNK to fall precipitously after reopening, and its first day of trading is proving those predictions correct. When it was halted, the stock was worth just less than $14 per share, and is now below $3 a share after briefly hovering around $5 earlier Friday morning. An OTC Markets spokeswoman told Reuters that CYNK's shares were not trading on its platform, but were occurring over the phone. Earlier this week Reuters reported that OTC's CEO did not expect CYNK to trade on its platform at all after reopening, as no brokerages would file the required paperwork for the stock to trade on their exchanges. An SEC spokesman said that the organization cannot comment on the status of a company after a suspension period ends, citing an online explanation of the process. That document notes that broker-dealers may not solicit investors to trade the previously suspended OTC stock until they satisfy several regulatory requirements. The SEC warned, however, that "unsolicited" trading may occur after a reopening -- as CYNK is now seeing -- but "even though such trading is allowed, it can be very risky for investors without current and reliable information about the company."
